1. Introduction
Welcome to the IQH3D Media Center Platform, developed by ‘IQH3D Canada’ (“Service”, “we”, “our”, or “us”). By using our platform, which converts customer-provided videos into 3D content (“Service”), you agree to be bound by the following Terms of Service (“Terms”). Please read these Terms carefully before using our Service.
By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility
To use the Service, you must be at least 18 years old or the legal age of majority in your jurisdiction, and you must be legally capable of entering into a binding contract. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration
To access the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4. Service Usage
Our Service allows you to upload videos, which we convert into 3D content. By using the Service, you agree to the following:
- You are the legal owner or have the necessary rights to upload and convert the video content.
- You will not upload any content that violates any laws, including copyright laws, or contains any harmful or illegal material.
- You are solely responsible for any content you upload and any consequences resulting from the conversion of that content.
5. Intellectual Property Rights
You retain all rights and ownership of the original content that you upload. By uploading content to our platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the content solely for the purpose of providing the Service.
5.1 Copyright Disclaimer
We respect the intellectual property rights of others and expect our users to do the same. By uploading content, you represent and warrant that:
- You own or have the necessary rights to all content you upload, and no content you upload will infringe on any third party’s copyright, trademark, or other intellectual property rights.
- If you are found to have infringed on the copyright of others, your account may be terminated, and you may be liable for damages.
If we receive a claim that any content you upload infringes the copyright of others, we reserve the right to remove the content and terminate your access to the Service without prior notice.
6. Fees and Payments
Access to the Service may be subject to fees. All fees are non-refundable unless otherwise stated. You agree to pay all applicable fees and charges incurred in connection with your use of the Service at the rates in effect when the charges were incurred.
7. Termination
We reserve the right to suspend or terminate your access to the Service at any time, without prior notice, for any reason, including but not limited to a breach of these Terms.
Upon termination, all licenses and rights granted to you under these Terms will immediately cease. You are still liable for any outstanding payments owed at the time of termination.
8. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, lost profits, data loss, or business interruption, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount paid by you to us for the use of the Service in the month preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless IQH3D Canada, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
11. Modifications to the Service
We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice to you. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Ontario, Canada, and you hereby consent to the exclusive jurisdiction and venue of such arbitration.
13. Changes to the Terms
We reserve the right to modify these Terms at any time. Any changes will be effective upon posting the updated Terms on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
